These Terms and Conditions (“Terms”) govern your access to and use of services provided by Durable Coder Private Limited (“we,” “us,” “our”). By engaging with our services, visiting our website, or entering into a service agreement, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our services.
1. Scope of Services
We offer website development, mobile application development, UI/UX design, digital transformation solutions, and related technology services. Each project will be governed by a separate service agreement or proposal that outlines specific deliverables, timelines, and pricing.
2. Client Responsibilities
Clients are responsible for:
Providing accurate and complete information required for the project
Supplying all content (text, images, logos, etc.) unless otherwise agreed
Responding promptly to communications to ensure timely project progress
Testing and providing feedback during development milestones
3. Intellectual Property
All pre-existing intellectual property belonging to the client remains the property of the client.
Upon full payment, final deliverables (excluding third-party tools, frameworks, or code libraries) will be transferred to the client.
We reserve the right to display completed projects in our portfolio unless otherwise agreed in writing.
4. Payment Terms
Payments must be made as per the milestones or schedule outlined in the service agreement or invoice.
Delayed payments beyond 15 days may result in a pause or termination of services.
No deliverables will be transferred until all dues are cleared.
All quoted prices are exclusive of applicable taxes unless stated otherwise.
5. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information exchanged during the course of the project. This includes, but is not limited to, code, client data, business processes, and financial information.
6. Revisions and Change Requests
Minor revisions within the defined scope are included in the quoted price.
Major changes or new features requested after the initial agreement will require additional time and cost and may be subject to a new estimate.
7. Warranties and Limitations
We warrant that the developed product will function as outlined in the scope, subject to testing and quality assurance.
We are not liable for issues arising from third-party services, client-supplied content, or changes made after project handover.
Our services are provided “as is,” and we disclaim all other warranties unless explicitly stated.
8. Project Timelines
We will make reasonable efforts to deliver services in accordance with the project timeline. However, delays caused by client inaction, third-party dependencies, or force majeure events may affect delivery dates.
9. Termination
Either party may terminate the agreement with written notice if:
The other party breaches any material term of the agreement
The client fails to make payment within the agreed timeline
Either party becomes insolvent or ceases operations
Upon termination, any work completed will be invoiced, and all dues must be cleared. No further services will be provided post-termination.
10. Limitation of Liability
To the fullest extent permitted by law, Durable Coder Private Limited shall not be liable for any indirect, incidental, special, or consequential damages arising from or related to the use of our services.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Jodhpur, Rajasthan.
12. Amendments
We reserve the right to update or modify these Terms at any time without prior notice. The revised Terms will be posted on our website with the updated effective date.
